SWEEPSTAKES OFFICIAL RULES

1. Eligibility. The Historic Hotel 1928 Stay + He Rules the World Tickets Sweepstakes (the “Sweepstakes”) is open only to (i) legal residents of the United States and the District of Columbia (excluding Rhode Island); (ii) who are eighteen (18) years of age or older at the time of entry, and (iii) are not otherwise prohibited from entry as set forth herein (“Entrant(s)”). Membership to Facebook and Instagram is free. Employees, officers, directors, contractors, and agents of Sponsor (as defined below) and any entity involved in the sponsorship, development, production, implementation, and distribution of the Sweepstakes and their respective parent and subsidiary companies, affiliates, divisions, agents, and advertising agents (collectively, the “Sweepstakes Parties”) and each of their immediate family members (parents, siblings, children, or spouses), regardless of where they live, or members of the same household (whether related or

not) are not eligible to enter or win. Only one (1) winner per household is permitted in any sweepstakes. By entering into the Sweepstakes, each Entrant acknowledges and agrees to these Sweepstakes Official Rules (“Official Rules”) and the decisions of Sponsor, which are final and binding in all respects. All applicable federal, state, and local laws and regulations apply. Void in Rhode Island and where restricted or prohibited by law.

2. Sponsor. The Sweepstakes is sponsored by ITSUIC Music LLC (“Sponsor”), 12600 Hill Country Blvd., Suite R-275 #222, Austin, TX 78738. The Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with, Facebook, Instagram, Karem Hotel Lessee LLC, or Hotel 1928. By entering into the Sweepstakes, each Entrant acknowledges that such Entrant is providing information to Sponsor and not to Facebook, Instagram, Karem Hotel

Lessee LLC, or Hotel 1928.

3. Sweepstakes Entry. The Sweepstakes begins on November 18, 2024, at 9:00 AM CT and ends on November 26, 2024, at 10:00 PM CT (the “Sweepstakes Period”). Sponsor’s computer is the official timekeeping device for the Sweepstakes. Entry is free, and no purchase or payment of any kind is necessary to enter or win the Sweepstakes. Entrants may enter the Sweepstakes via the entry methods described below. All entries by any method must be received during the Sweepstakes Period. Only fully completed entries are eligible.

4. How to Enter. During the Sweepstakes Period, Entrants may enter the Sweepstakes by: (1)(a) following He Rules the World on Facebook, (b) liking the Sweepstakes post, and (c) tagging one other Facebook user in the comments section of the Sweepstakes post; or (2)(a) following @herulestheworldshow on Instagram, (b) liking the Sweepstakes post, and (b) tagging one other Instagram user in the comments section of the Sweepstakes post (collectively, an “Entry”). Once Entrant has submitted a fully completed Entry, such Entrant may tag additional Facebook or Instagram users in separate comments, or share the Sweepstakes post to such Entrant’s Facebook or Instagram story, for additional entries. Each additional Facebook or Instagram user tagged in a separate comment, or the sharing of the Sweepstakes post to an Entrant’s Facebook or Instagram story, will constitute one (1) additional Entry.

In the event of a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed submitted by the authorized account holder associated with the username used to enter via Facebook or Instagram, regardless of the individual who submitted the Entry. For purposes of this Sweepstakes, the authorized account holder is the natural person who is assigned to the Facebook or Instagram account by Facebook or Instagram, respectively. Potential Winners (as defined below) may be required to show proof of being the authorized account holder.

All Entries via Facebook or Instagram must comply with the Terms of Service/Use available at

https://www.facebook.com/terms.php and https://help.instagram.com/581066165581870, respectively, and Facebook or Instagram Community Standards/Guidelines available at https://www.facebook.com/communitystandards/ and https://www.facebook.com/help/instagram/477434105621119, respectively. Entries generated by robotic, programmed script, macro, or by other automated means will be deemed void. Entrants may not register with multiple Facebook on Instagram accounts and Entrants may not use multiple devices to enter the Sweepstakes as multiple entrants. Any individual who attempts to enter with multiple accounts under multiple identities will be disqualified in Sponsor’s direction.Proof of submission of any entry shall not be deemed proof of receipt by Sponsor.

All comments posted to enter the Sweepstakes must be in keeping with Sponsor’s positive image and may not be offensive or inappropriate, as determined by Sponsor in its sole discretion. Comments must be suitable for online publication accessible to the general public. Sponsor reserves the right to eliminate any Entries that it determines, in its sole discretion, contain inappropriate content or content that may be deemed obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or unlawful, including without limitation, obscenities, threats, violence, unsafe behavior or situations, or disparagement of any product, service, or person.

No Sweepstakes Party is responsible for lost, illegible, late, misdirected, incomplete, or non-delivered entries, or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), website, or other connections, availability, or accessibility, or miscommunications, or failed computer, satellite, telephone, or lines, or technical failure or

filtered, jumbled, garbled, corrupted, scrambled, delayed, or misdirected transmissions, or other errors of any kind whether human, mechanical, or electronic. Sponsor reserves the right to suspend or terminate the Sweepstakes in the event of any such problem or for any other reason that the Sweepstakes are not capable of being completed as planned. Entries not in compliance with these Official Rules are disqualified. Sponsor shall have the absolute right to determine if an entry is in compliance with these Official Rules without notice to the individual attempting to

enter.

5. Use of Entrant Information. Entrant acknowledges and agrees that by participating in the Sweepstakes and providing any personal information, subject to applicable law, Sponsor may collect and use such personal information provided for the purposes of administering the Sweepstakes, for Sponsor’s internal purposes, and for marketing and advertising activities. All information submitted by an Entrant, such as name, email address, and mailing address, will be treated according to Sponsor’s privacy policy, available at https://www.herulestheworld.com/privacy-policy.

6. Prizes and Selection of Winners. There are a total of two (2) prizes (each, a “Prize,” and collectively, the “Prizes”). The grand prize includes: two (2) tickets to the “He Rules the World” concert for either Wednesday, December 11, 2024, or Thursday, December 12, 2024, at the Waco Hippodrome Theatre in Waco, TX, with an approximate retail value (“ARV”) of $35.00 USD per ticket, and one (1)-night accommodations at Hotel 1928 in Waco, TX (1 King or 2 Queen beds, depending on availability and at Hotel 1928’s sole discretion) for either Wednesday, December 11, 2024, or Thursday, December 12, 2024, with an ARV of $500.00 USD, for a total ARV of $570.00 USD. The second prize includes: four (4) tickets to the “He Rules the World” concert for Entrant’s choice of concert dates from December 11, 2024, to December 14, 2024, at the Waco Hippodrome Theatre in Waco, TX, with an approximate retail value (“ARV”) of $35.00 USD per ticket, for a total ARV of $140.00 USD. The aggregate ARV of all Prizes is $710.00 USD.

A major credit card may be required at check-in at Hotel 1928 to cover any incidental expenses incurred during the hotel stay. All taxes, costs, incidentals, or expenses associated with receipt and use of the Prize, not specified herein as being provided, are the sole responsibility of Winner. Winner must provide all necessary photo ID or other documents required by Hotel 1928 at check-in, and at Hotel 1928’s sole discretion. Any travel costs, tax, gratuity, room service,

parking, souvenirs, meals, ground transportation, or airfare are the sole responsibility of Winner.

Winners will be selected at random by Sponsor, whose decisions will be final and binding, from all eligible Entries received during the Sweepstakes Period and will take place within five (5) business days after the Sweepstakes Period ends. Sponsor will randomly select two (2) Winners. Odds of winning depend on the number of eligible Entries. Sponsor will attempt to notify the potential Winners by Facebook or Instagram direct message to obtain additional information to verify eligibility. It is acknowledged and understood that such information is being provided to Sponsor and not to Facebook or Instagram. If a potential Winner does not respond to such notification within twenty-hour (24) hours, or cannot or refuses to accept the Prize, or does not provide Sponsor with the verification information within the time frame stated above, the Prize will be forfeited and an alternate potential Winner will be selected at random from the remaining eligible Entries. Sponsor shall not be responsible for the inability of a potential Winner to return

Sponsor’s message, any returned notifications due to inaccurate information provided by potential Winner, or any responses that are lost, late, incomplete, or otherwise not received by Sponsor.

Prizes are nontransferable, non-assignable, and no cash or Prize substitution will be made except as provided herein at Sponsor’s sole discretion. Sponsor reserves the right to substitute any Prize with another prize of equal or greater value in the event that the designated Prize (or any component thereof) is not available for any reason. Each Winner is solely responsible for any costs and expenses incidental or due in connection with such Winner’s Prize or receipt of such

Winner’s Prize not specified herein. Sponsor will not replace lost or stolen Prizes. Each Winner is solely responsible for reporting and paying any and all applicable federal, state, and local taxes due in connection with a Prize. Each Winner, as a condition to receiving any Prize, may be required to complete, sign, and submit an IRS Form W-9 or equivalent form with Winner’s full social security number or other U.S. taxpayer identification number within twenty-four (24) hours of Sponsor notifying Winner of such Winner’s Prize eligibility. If applicable, a Winner will be shipped such Winner’s Prize within thirty (30) business days following the completion of the Sweepstakes and verification of Winners. Sponsor or Sponsor’s designee may issue appropriate tax reporting forms related to a Winner’s receipt of any Prize. Receipt of any Prize is conditioned upon compliance with all applicable federal, state, and local laws, rules, and regulations and these Official Rules.

7. Verification of Potential Winner. Sponsor reserves the right to require a potential Winner to show proof of identity prior to receiving a Prize. A potential Winner may be required to sign and return an affidavit of eligibility and release of liability, or such other documents as Sponsor may reasonably require, within twenty-four (24) hours of delivery.

​

ANY POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED, ENTRANT HAS RETURNED ANY REQUIRED IRS FORM W-9 OR EQUIVALENT FORM, ANY AFFIDAVIT OF ELIGIBILITY AND RELEASE OF LIABILITY, AND ANY OTHER DOCUMENTS AS SPONSOR MAY REASONABLY REQUIRE, AND SPONSOR HAS NOTIFIED ENTRANT THAT ALL REQUIRED STEPS HAVE BEEN COMPLETE (EACH, A “WINNER,” AND COLLECTIVELY, THE “WINNERS”).

8. Publicity Rights. Winner’s acceptance of a Prize constitutes permission (except where prohibited by law) for Sponsor and the Sweepstakes Parties to use said Winner’s name, image, and likeness in all forms of media, in perpetuity, without notice or further compensation, in connection with the Sweepstakes.

​

9. Warranties and Representations. By submitting an Entry, each Entrant warrants and represents to Sponsor that: (i) Entrant’s information is true and correct; (ii) Entrant owns or has acquired the rights to any intellectual property incorporated into Entrant information, including but not limited to any logos, graphics, images, or other copyrighted or trademarked work, where applicable; and (iii) Entrant has all of the rights and authority necessary to submit the Entry in the Sweepstakes in compliance with these Official Rules.

10. Release and Assumption of Risk. By participating in the Sweepstakes, all Entrants (including each Winner) agree to forever release, hold harmless, and indemnify Facebook, Instagram, Sponsor, Sweepstakes Parties, Karem Hotel Lessee LLC, and Hotel 1928, and each of their respective parent and subsidiary companies, affiliates, divisions, officers, employees, shareholders, representatives, managers, members, directors, owners, agents, insurers, attorneys,

predecessors, successors, and assigns thereof (collectively, the “Released Parties”) from and against any and all claims, actions, proceedings, injuries, losses, damages, and liabilities of any kind, including, but not limited to, claims arising from or related to: (i) the Sweepstakes; (ii) Entrant’s participation in the Sweepstakes; or (iii) Winner’s receipt or use or misuse of any Prize. Entrants waive any and all rights to claim ambiguity, should it even exist, in connection with these Official Rules. Sponsor is not liable for any event, including but not limited to, any service outage, delay, computer difficulty, or other technological issue that may prevent a potential Entrant from accessing the Sweepstakes or submitting entrant information.

BY ENTERING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRANTS FURTHER AGREE TO WAIVE ANY AND ALL RIGHTS TO BRING ANY CLAIM, ACTION, OR PROCEEDING AGAINST THE RELEASED PARTIES RELATIVE TO THE

PRIZE(S) AND HEREBY ACKNOWLEDGE THAT THE RELEASED PARTIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT, OR IN LAW, RELATIVE TO ANY PRIZE, ITS QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR SUITABILITY FOR USE.

11. Limitation of Liability. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL THE RELEASED PARTIES BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR EXEMPLARY OR

PUNITIVE DAMAGES, INCLUDING, NOT LIMITED TO, LOSS OF PROFITS OR HARM TO BUSINESS OR REPUTATION, ARISING OUT OF ENTRANTS’ PARTICIPATION IN THE SWEEPSTAKES, POSTING ON OR ACCESS OR DOWNLOAD OF ANY MATERIALS OR INFORMATION FROM ANY WEBSITE OWNED, OPERATED, OR CONTROLLED BY A RELEASED PARTY, OR ACCEPTANCE OR USAGE OF A PRIZE, AND INCLUDING, WITHOUT LIMITATION, DAMAGE TO PROPERTY AND, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAMAGES FOR BODILY OR PERSONAL INJURY, EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILTY OF SUCH DAMAGES OR LOSS. LIMITATIONS OR EXCLUSIONS OF LIABILITY SUBJECT TO ALL APPLICABLE FEDERAL, STATE, AND LOCAL LAWS

AND REGULATIONS.

12. Suspension and Disqualification. Sponsor reserves the right to suspend, modify, or cancel the Sweepstakes at any time and in its sole discretion, in the event of any computer virus, tampering, unauthorize intervention, fraud, technical failures, or other issues beyond Sponsor’s control that compromise the integrity of the Sweepstakes. Sponsor reserves the right, in its sole discretion, to disqualify any Entrant who Sponsor determines: (i) has tampered with the entry process or the operation of the Sweepstakes; (ii) was ineligible to participate in the Sweepstakes; (iii) submitted more than the allowed number of Entries; or (iv) otherwise acted in an unlawful manner or in violation of these Official Rules. Any attempt to deliberately damage Sponsor’s website or undermine the legitimate operation of the Sweepstakes may be in violation of U.S. criminal and civil laws and will result in disqualification from the Sweepstakes. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages from any such entrant

to the fullest extent permitted by law.

13. Announcement of Winner(s) and Winners List. Each Winner will be announced in the comments section of the Sweepstakes post on Sponsor’s Facebook and Instagram sites, following the completion of the Sweepstakes and verification of Winners. 14. Severability. If any one or more provisions of these Official Rules are held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the validity, effect or enforcement of any other provision(s) of these Official Rules.

​

15. Governing Law; Jurisdiction; Venue. These Official Rules shall be governed by and interpreted in accordance with the laws of the State of Texas without regard to its conflicts of laws provisions. Each Entrant agrees that the state and federal courts located in the State of Texas shall have exclusive jurisdiction over any dispute arising from or relating to these Official Rules, the Sweepstakes, or Entrant’s participation in the Sweepstakes, and Entrant’s consent to

the personal jurisdiction and venue thereof.
